Introduction
Welcome to the Runway platform, available on www.runwaycapital.se (the “Runway Platform” and the “Website” respectively) and provided by RNWY Capital AB (hosting Runnway), Swedish company reg. no 559515-7974 (“Runway”). Runway provides the Runway Platform in order to connect start-ups and entrepreneurs with sophisticated contacts.
Acceptance of Terms
By using the Runway Platform, you agree to adhere to and be bound by these terms of service (the “Terms of Service”) as well as by the terms stipulated in Runway’s privacy policy, which is available here <LINK> (the “Privacy Policy”). You agree to accept these Terms and Conditions electronically. If you do not want to be bound by the Terms and Conditions, you may not use the Runway Platform.
Description of the Runway Platform
The Runway Platform is built to provide a qualitative flow of start-ups and early stage companies (“Start-ups”) to sophisticated contacts. The Runway Platform is defined as the tools and services which are offered to the registered users (the “Member Users”) by Runway, including any wholly-owned subsidiaries and affiliates of Runway. This includes any and all of the content thereon and services provided by Runway on or in conjunction with the Runway Platform, including but not limited to, application program interfaces (API’s), storage and e-mail. You are required to register your user information with Runway.
Users
As an Member User you may be given access to sensitive and strictly confidential information about Start-ups and you should always use your discretion in how you use that information. Runway does not recommend any investments. Thus, it is in the responsibility of the Member User to do a due diligence and other necessary research about the Start-ups prior to any investment or involvments.
Fees
Runway has the right to charge the Start-up a fee based on the engagement Members committs to via Runway. Furthermore, Runway has the right to charge the Start-up a fixed starting fee for its services.
Limitation of Liability
The entrepreneur(s), or other authorized representative(s) of a Start-up (jointly the “Entrepreneur”), who submit an application for their Start-up to be featured on the Runway Platform is entirely responsible for all content that the Entrepreneur uploads, posts, e-mails, transmits or otherwise makes available via the Runway Platform. Under no circumstances will Runway be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed, transmitted or otherwise made available via the Runway Platform.
Using the Runway Platform
Runway has the right, at its sole discretion, to (i) reject any Member User from creating an account as well as (ii) terminate the account of any Member User without prior notice if such Member User does not fulfill the requirements of registering as an Member User or if such Member User breaches any provision of these Terms of Service. Furthermore, Runway has the right, at its sole discretion, to (i) reject any application from Entrepreneurs regarding a Start-up or (ii) remove any Start-up from the Runway Platform without prior notice if such Start-up does not fulfil the requirements of being featured on the Runway Platform or if Runway learns, or has reason to suspect, that information given by the Entrepreneur about a Start-up is false, misleading or in any other way inaccurate.
Member Users and Entrepreneurs agree not to use the Runway Platform to: 1. Upload any content that the Member User or the Entrepreneur do not have a right to make available under any law or under contractual relationships (such as inside information, proprietary and confidential information learned or under non-disclosure agreements); or 2. Upload any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights.
Information Accuracy
Member Users and Entrepreneur are responsible to ensure that any registration data or other information provided to Runway is true, current and complete at all times. In the event any such information is changed, Member Users and Entrepreneurs undertakes to update its personal profile page and/or inform Runway of such changes as soon as possible.
Passwords
During registration Member Users will set their account access login and password. Member Users are solely responsible for maintaining the confidentiality of such information and are solely responsible for any and all activities and/or postings that are made using their respective accounts. Member Users undertake to notify Runway of any suspicion that an unauthorized person has accessed its account.
Intellectual Property Rights
All information and content available on the Runway Platform, including but not limited to trademarks, logos, service marks, copyrighted works, text, graphics, logos, button icons, images, audio/video clips, data compilations and software, and the compilation and organization thereof is the property of Runway, its affiliates, partners or licensors, or is used with consent of the owner, and is protected by applicable Swedish laws, including laws governing copyrights and trademarks. The reproduction and use of any of these is strictly prohibited unless specific permission is provided by Runway, on the Runway Platform or otherwise. Any unauthorized use may violate copyright laws, trademark laws, privacy and publicity laws, foreign laws and international conventions.
Indemnification
Member Users and Entrepreneurs agree and undertake to defend, indemnify and hold harmless Runway, its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, licensees, distributors and content providers from all damages, liabilities, claims and expenses, including without limitation attorneys' fees and costs, arising from or related, directly or indirectly, to any misuse of the Runway Platform or breach of these Terms of Service by the Member User or Entrepreneur.
Disclaimer
None of Runway, its affiliates, officers, directors, employees, agents, suppliers, or licensors (jointly the “Runway Parties”) makes any warranties or representations about the Runway Platform or its contents, including but not limited to their accuracy, reliability, completeness, or timeliness, or reliability. None of the Runway Parties shall be subject to liability for any information made available on or through the Runway Platform or for errors, mistakes or omissions therein or for any delays or interruptions of the data or information. Member Users and Entrepreneurs agree to use the Runway Platform solely at their own risk.
Runway does not give business advice, investment advice, tax advice or legal advice to anyone using the Runway Platform. Furthermore, Runway is not, and does not claim to be, a broker, dealer or investment advisor of any kind and nothing in these Terms of Service shall constitute a sale or offer to buy or sell or recommendation of any securities or similar. Each Member User undertakes to make his or her own investment decisions based upon his or her personal due diligence investigation of a Start-up and other personal investment criteria. Runway is not responsible for and shall have no liability with respect to the actions or omissions of anyone using the Runway Platform. Therefore, Member Users and Entrepreneurs hereby waive and release any and all claims, causes of action or other rights that they might have against any of the Runway Parties arising out of or relating to the submission of any information or material made available on or through the Runway Platform.
Modification to the Runway Platform
Runway reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the services provided by Runway on the Runway Platform (or any part thereof) with or without notice. Member Users and Entrepreneurs agree that Runway shall not be liable whatsoever for any modification, suspension or discontinuance of the Runway Platform.
Entire Agreement and Severability
These Terms of Service, together with the Privacy Notice and any other legal notices published by Runway on the Runway Platform, shall constitute the entire agreement between you and Runway concerning the Runway Platform. If any provision of these Terms of Service should be deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect.
Amendments to the Terms of Service
Runway may change these Terms of Conditions at any time and in its sole discretion. The modified Terms of Service will be effective immediately upon posting and Investor Users and Entrepreneurs agree to such new Terms of Service by continuing to use the Runway Platform. If an Member User or Entrepreneur do not agree with the modified Terms of Service, the only remedy is to discontinue using the Runway Platform.
